Terms of Service

These Terms of Service govern your access to and use of UcoWorker, including the desktop application, CLI, web dashboard, and connected channels, operated by AI4ALPHA INC. ("UcoWorker," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Definitions

"UcoWorker," "AI4ALPHA," "we," "us," or "our" means AI4ALPHA INC., a corporation incorporated under the laws of Alberta, Canada, operating the UcoWorker platform.

"Service" means the UcoWorker platform, including the desktop application (macOS, Windows, Linux), command-line interface (CLI), web dashboard at ucoworker.com, API endpoints, and any connected channels such as Telegram, Slack, Email, or other messaging integrations.

"Agent" means the AI-powered autonomous software component within UcoWorker that can read and write files, execute shell commands, browse the web, use MCP (Model Context Protocol) tools, spawn sub-agents, and perform other automated actions on your behalf.

"User," "you," or "your" means any individual or entity that accesses or uses the Service.

"Content" means all files, code, text, images, data, prompts, configurations, and other materials you provide to or generate through the Service.

"Output" means any content generated by the Agent in response to your prompts or instructions, including code, text, files, shell command results, and analysis.

"Credits" means the unit of account used to measure and bill for server-backed AI model usage within the Service.

"BYOK" means Bring Your Own Key, a mode in which you provide your own API keys for direct access to third-party AI model providers.

"Workspace" means a user-designated directory or project folder that the Agent operates within, subject to configured permission levels.

"Data Marketplace" means the curated collection of datasets available within the Service for search, browsing, and download.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

The Service is not intended for use in jurisdictions where such use would violate applicable law. You are responsible for ensuring your use complies with all laws applicable to you.

3. Account Registration

To access most features of the Service, you must create an account by providing accurate and complete information, including a valid email address and password. You agree to keep your account information current.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at contact@ucoworker.com if you become aware of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information, are used in violation of these Terms, or show signs of unauthorized access. We may require email verification or other identity confirmation steps at any time.

You may not create multiple free accounts to circumvent usage limits, share account credentials with others, or transfer your account to another person without our written consent.

4. AI Agent Capabilities and Disclaimers

This is the most important section of these Terms. Please read it carefully.

4.1 Autonomous Execution and Local Operations. The UcoWorker Agent executes actions exclusively on your local device with the system privileges you grant. All file operations, shell command execution, browser automation, and MCP tool invocations happen on your computer — the UcoWorker server (api.ucoworker.com) does not access, read, store, or retain the contents of your local files or the results of local operations. The server's role is limited to: (a) authenticating your account, (b) proxying LLM requests to third-party providers (with zero content retention), and (c) tracking credit usage for billing. Depending on the permission level you configure, the Agent may: read, create, modify, and delete files on your local filesystem; execute shell commands and scripts with the privileges of your user account; browse the web, fetch pages, and interact with web content; connect to and operate external services via MCP servers; spawn sub-agents that independently perform tasks in parallel; send messages through connected channels (Telegram, Slack, Email); and access and download datasets from the Data Marketplace.

4.2 Permission Levels. The Service provides four permission levels -- ReadOnly, Workspace, Developer, and Trust -- that control which actions the Agent may take without explicit approval. You are responsible for selecting and configuring the appropriate permission level for your use case. Higher permission levels (Developer and Trust) grant the Agent broader autonomous capabilities, including the ability to execute arbitrary shell commands and modify files outside the workspace without per-action approval. You acknowledge that granting elevated permissions increases the risk of unintended changes to your system.

4.3 User Responsibility for Agent Actions. You are solely responsible for all actions the Agent takes on your behalf, including but not limited to: any files created, modified, or deleted; any commands executed on your system; any data transmitted to third parties; any messages sent through connected channels; and any consequences arising from the Agent's interaction with external systems. You should review Agent actions and outputs before relying on them, especially for irreversible operations.

4.4 No Guarantee of Correctness. The Agent relies on large language models (LLMs) that may produce incorrect, incomplete, misleading, or harmful outputs. AI-generated code may contain bugs, security vulnerabilities, or license violations. AI-generated text may contain factual errors or fabricated information. AI-generated commands may have unintended side effects on your system. We do not warrant that any Output will be accurate, complete, reliable, current, or error-free.

4.5 Not a Substitute for Professional Judgment. The Service provides AI capabilities and agent automation tools — it does NOT provide legal, financial, medical, tax, accounting, insurance, or any other professional advice. Agent outputs are provided as-is for informational and productivity purposes only. If you use UcoWorker agents for tasks in regulated domains (healthcare, law, finance, etc.), you do so entirely at your own risk and responsibility. You must always consult qualified professionals and independently verify any critical information before taking action. UcoWorker (AI4ALPHA INC.) bears no responsibility for decisions you make based on Agent outputs.

4.6 System Risks. The Agent operates with the system privileges of your user account. Malformed prompts, adversarial inputs, or unexpected model behavior could result in data loss, corruption of files, exposure of sensitive information, unintended network requests, or consumption of system resources. You should maintain backups of important data and use version control for code repositories before granting the Agent write access.

4.7 Sub-Agents and Parallel Execution. The Service may spawn multiple sub-agents that operate concurrently. Each sub-agent inherits the permission level of the parent session. You acknowledge that parallel agent execution increases both capability and risk, and that monitoring all concurrent agent actions in real time may not be practical.

4.8 Beta and Experimental Features. Certain features may be designated as beta, experimental, or preview. These features are provided AS-IS with no guarantee of stability, accuracy, or continued availability. We may modify or discontinue beta features at any time without notice. Use of beta features is at your sole risk.

5. User Responsibilities

You are responsible for: (a) all Content you provide to the Service and all Output generated in your sessions; (b) ensuring that your use of the Service does not violate any applicable law, regulation, or third-party right; (c) configuring appropriate permission levels and authorized paths for your use case; (d) maintaining backups of your data and using version control before granting the Agent write access; (e) reviewing and validating Agent outputs before relying on them; (f) the security of API keys and credentials you provide or configure, whether your own or those obtained through the Service; and (g) all actions taken through connected channels (Telegram, Slack, Email, etc.) by the Agent on your behalf.

You acknowledge that you, not UcoWorker (AI4ALPHA INC.), are the operator of the Agent within your environment, and that UcoWorker provides the tools while you direct and control their use.

6. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe upon the intellectual property rights of others; (c) generate or distribute malware, ransomware, viruses, or other harmful code; (d) gain unauthorized access to systems, networks, or data you do not own or have permission to access; (e) engage in phishing, social engineering, or credential theft; (f) generate spam, bulk unsolicited messages, or content that violates Canada's Anti-Spam Legislation (CASL); (g) generate content that exploits or harms minors; (h) harass, threaten, or abuse others; (i) attempt to circumvent usage limits, credit systems, or security measures; (j) reverse-engineer, decompile, or extract the source code of the Service except as permitted by applicable law; (k) use the Service to develop a competing product or service; (l) resell, sublicense, or redistribute access to the Service without written authorization; or (m) interfere with or disrupt the integrity or performance of the Service.

We reserve the right to investigate violations and may suspend or terminate your access without notice if we reasonably believe you have violated these terms. We may also report illegal activity to appropriate law enforcement authorities.

Export Controls. You must not use the Service in violation of any applicable export control laws, including United States Export Administration Regulations (EAR) and Office of Foreign Assets Control (OFAC) sanctions. You represent that you are not located in, or a resident of, any country subject to comprehensive sanctions.

Browser Automation. When using browser automation features, you are solely responsible for ensuring compliance with the terms of service of any third-party website accessed. You must not use browser automation to bypass authentication, circumvent rate limits, or violate robots.txt directives.

7. Intellectual Property

7.1 Your Content. You retain all rights to the Content you provide to the Service. By using the Service, you grant UcoWorker (AI4ALPHA INC.) a limited, non-exclusive license to process your Content solely as necessary to provide the Service to you.

7.2 Output Ownership. Subject to these Terms and to the extent permitted by applicable law, we assign to you all right, title, and interest in Output generated by the Agent in response to your prompts during your sessions. This assignment is conditioned on your compliance with these Terms and full payment of applicable fees. You acknowledge that similar or identical Output may be generated for other users based on similar prompts, and no exclusivity is implied.

7.3 No Training on Your Data. We do not use your Content or conversation data to train, fine-tune, or improve AI models. Your prompts and outputs are not used as training data.

7.4 Our Intellectual Property. The Service, including its software, algorithms, user interface, documentation, branding, and all underlying technology, is and remains the exclusive property of UcoWorker (AI4ALPHA INC.) or its licensors. These Terms do not grant you any ownership interest in the Service itself.

7.5 Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant UcoWorker (AI4ALPHA INC.) a perpetual, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

7.6 Open-Source Components. The Service may include open-source software components governed by their respective licenses. Nothing in these Terms restricts your rights under applicable open-source licenses.

7.7 DMCA Takedown Notices. If you believe content on the Service infringes your copyright, please send a DMCA takedown notice to contact@ucoworker.com with: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law, and (e) a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

8. Third-Party Services

8.1 AI Model Providers. The Service routes requests to third-party AI model providers, which may include Anthropic (Claude), OpenAI (GPT), Google (Gemini), and others. When you use server-backed model access, your prompts and conversation context are transmitted to these providers for processing. Each provider's use of your data is governed by their respective terms of service and privacy policies. UcoWorker (AI4ALPHA INC.) does not control how these providers process data beyond what their APIs and agreements permit.

8.2 BYOK (Bring Your Own Key). If you use BYOK mode by providing your own API keys, your interactions with third-party providers are governed directly by your agreement with those providers. UcoWorker (AI4ALPHA INC.) is not a party to those agreements and assumes no liability for third-party provider actions, outages, data handling, pricing changes, or terms modifications.

8.3 MCP Servers. The Service supports Model Context Protocol (MCP) servers that extend Agent capabilities. MCP servers may be operated by UcoWorker (AI4ALPHA INC.), by you, or by third parties. You are responsible for evaluating the trustworthiness and security of any MCP server you connect to the Service.

8.4 Connected Channels and Google Integrations. When you connect messaging platforms (Telegram, Slack, Email, etc.) or Google Workspace services (Gmail, Google Drive, Google Calendar, Google Sheets, Google Docs, Google Slides, Google Tasks, and Google Contacts), data necessary for the integration is transmitted to and from those platforms. Google integrations use OAuth 2.0 and operate locally on your device; see our Privacy Policy section 3.4 for details on Google data handling. UcoWorker's use and transfer of information received from Google APIs to any other app adheres to the Google API Services User Data Policy, including the Limited Use requirements. Your use of connected channels and integrations is also subject to the terms and policies of those platform providers.

8.5 Payment Processing. Payment is processed by Stripe. We do not store your credit card details. Your payment information is subject to Stripe's terms and privacy policy.

8.6 Data Marketplace. Datasets available through the Data Marketplace may be subject to their own license terms. You are responsible for reviewing and complying with any license terms associated with datasets you access or download.

9. Subscription, Credits, and Billing

9.1 Plans and Pricing. The Service offers the following subscription plans: Free ($0/month, 200 welcome credits on signup + 1,000 bonus after card verification), Starter ($9 CAD/month, 1,000 credits/month), Plus ($19 CAD/month, 2,500 credits/month), Pro ($59 CAD/month, 8,000 credits/month), and Max ($199 CAD/month, 30,000 credits/month). Credit packs are also available for one-time purchase: 500 credits for $5 CAD, 1,000 credits for $10 CAD, and 2,000 credits for $20 CAD. Prices are in Canadian dollars unless otherwise stated.

9.2 Auto-Renewal. Paid subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. You authorize us to charge the payment method on file for each renewal. We will notify you of any price changes in advance.

9.3 Credit Usage. Credits are consumed when the Agent makes server-backed AI model calls. Different models and operations consume credits at different rates. Credit balances are visible in your account dashboard. Unused monthly credits do not roll over to the next billing period unless explicitly stated for your plan.

9.4 Cancellation. You may cancel your subscription at any time through your account settings or by contacting contact@ucoworker.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period.

9.5 Refunds. Subscription fees are non-refundable except where required by applicable law. Unused credits are not redeemable for cash. One-time credit pack purchases are non-refundable once credits have been added to your account.

9.6 Free Tier. The Free plan provides 200 welcome credits immediately on signup, plus a one-time grant of 1,000 bonus credits after card verification. Card verification is used solely to prevent abuse; no charges are made unless you subscribe to a paid plan or purchase credits. Free accounts with no activity for 12 consecutive months may be deactivated.

9.7 Price Changes. We may change subscription prices or credit pack prices with at least 30 days' notice. If you do not agree with a price change, your remedy is to cancel before the next billing cycle.

9.8 Taxes. All prices are exclusive of applicable taxes. You are responsible for any sales tax, GST, HST, VAT, or other taxes imposed on your purchase, except for taxes based on AI4ALPHA INC.'s income.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UCOWORKER (AI4ALPHA INC.) DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

UCOWORKER (AI4ALPHA INC.) DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY OUTPUTS GENERATED BY THE AGENT WILL BE ACCURATE, COMPLETE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE; (C) THE AGENT WILL NOT CAUSE UNINTENDED MODIFICATIONS TO YOUR FILES, SYSTEMS, OR DATA; (D) DEFECTS WILL BE CORRECTED; OR (E) THE SERVICE WILL MEET YOUR REQUIREMENTS.

YOU ACKNOWLEDGE THAT THE SERVICE USES ARTIFICIAL INTELLIGENCE AND LARGE LANGUAGE MODELS THAT ARE INHERENTLY PROBABILISTIC AND MAY PRODUCE UNPREDICTABLE RESULTS. YOU USE THE SERVICE, AND RELY ON ANY OUTPUTS, ENTIRELY AT YOUR OWN RISK.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM UCOWORKER (AI4ALPHA INC.) OR THROUGH THE SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UCOWORKER (AI4ALPHA INC.), ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; COST OF PROCUREMENT OF SUBSTITUTE SERVICES; DATA LOSS OR CORRUPTION CAUSED BY AGENT ACTIONS; UNAUTHORIZED ACCESS OR ALTERATION OF YOUR FILES, CODE, OR SYSTEMS; UNINTENDED EXECUTION OF COMMANDS OR SCRIPTS; EXPOSURE OF SENSITIVE INFORMATION THROUGH AGENT OPERATIONS; DAMAGES ARISING FROM THIRD-PARTY AI MODEL PROVIDER ACTIONS OR OUTAGES; OR SYSTEM DOWNTIME OR SERVICE INTERRUPTIONS -- REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF UCOWORKER (AI4ALPHA INC.) HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UCOWORKER'S (AI4ALPHA INC.'S) TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO UCOWORKER (AI4ALPHA INC.) IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless UcoWorker (AI4ALPHA INC.), its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) any actions taken by the Agent on your behalf, including file modifications, command execution, data transmission, or messages sent through connected channels; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your infringement of any third-party right, including intellectual property rights; (f) your Content or any use thereof; or (g) your use of BYOK mode and interactions with third-party providers.

UcoWorker (AI4ALPHA INC.) reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with UcoWorker in asserting any available defenses.

13. Termination

13.1 Termination by You. You may terminate your account at any time by canceling your subscription and deleting your account through the Service, or by contacting us at contact@ucoworker.com.

13.2 Termination by Us. We may suspend or terminate your access to the Service at any time, with or without notice, if: (a) you breach these Terms; (b) we are required to do so by law; (c) your account has been inactive for an extended period; (d) we discontinue the Service or any part thereof; or (e) we reasonably believe your use poses a security risk or may cause liability.

13.3 Effect of Termination. Upon termination: your right to use the Service ceases immediately; any unused credits are forfeited and are not refundable; we may delete your account data after a reasonable retention period; and provisions that by their nature should survive termination (including Sections 4, 7, 10, 11, 12, and 14) will survive.

13.4 Data Export. UcoWorker is designed with a local-first architecture. Your files and workspace data reside on your own device and remain under your control. Server-side conversation data may be exported or deleted upon request, subject to our Privacy Policy.

14. Governing Law and Dispute Resolution

14.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Jurisdiction. You agree to submit to the exclusive jurisdiction of the courts of the Province of Alberta, located in Edmonton, Alberta, for the resolution of any disputes arising out of or relating to these Terms or the Service.

14.3 PIPEDA Compliance. UcoWorker (AI4ALPHA INC.) complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Alberta Personal Information Protection Act (PIPA) with respect to the collection, use, and disclosure of personal information. See our Privacy Policy for details.

14.4 CASL Compliance. We comply with Canada's Anti-Spam Legislation (CASL). We will only send you commercial electronic messages with your consent and will provide a clear unsubscribe mechanism in every such message.

14.5 Waiver of Class Action. To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14.6 Binding Arbitration. Any dispute that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered by the ADR Institute of Canada, conducted in Edmonton, Alberta. The arbitrator's decision shall be final and binding. This clause does not prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

15. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email, through the Service, or by posting the revised Terms with a new "Last updated" date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree with the revised Terms, you must stop using the Service and cancel your account before the changes take effect. For material changes that increase your obligations or reduce your rights, we will provide at least 30 days' notice.

16. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and UcoWorker (AI4ALPHA INC.) regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure. UcoWorker (AI4ALPHA INC.) will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, internet disruptions, or third-party service outages.
